Terms And Conditions
Welcome to StackWalls! These Terms and Conditions ("T&C") govern your access to and use of StackWalls’ services, whether you are a client, freelancer, full-timer, or agency. By using our platform, you agree to comply with these T&C.
1. Definitions
1.1 Client: An individual or organization that seeks to hire freelancers, full-time employees, or agencies through StackWalls.
1.2 Freelancer: An individual offering freelance services via StackWalls.
1.3 Full-Timer: An individual seeking full-time employment through StackWalls.
1.4 Agency: A group or company providing specialized services through StackWalls.
1.5 Project Manager: A StackWalls-assigned individual responsible for overseeing project execution.
1.6 Service Fees: Charges applied by StackWalls for the use of its services.
1.7 Escrow: A financial arrangement where payments are held by StackWalls until project completion.
2. Scope of Services
StackWalls offers the following services:
2.1 Freelance Hiring: Clients can hire freelancers for specific projects.
Process:
Clients submit project requirements and preferences.StackWalls provides three (3) highly qualified freelancers.Clients evaluate profiles and schedule interviews.Clients select a freelancer, who then quotes a fee.StackWalls adds a 20% commission to the freelancer’s fee and quotes the total price to the client.Upon client payment, the freelancer begins work.StackWalls holds the payment in escrow until project completion.Payment is released to the freelancer after client approval.Fees & Payment:
StackWalls charges a 20% commission on the freelancer’s quoted fee.Payment is required in advance and is held in escrow by StackWalls.Freelancers receive payment only after project completion and client approval.Dispute Resolution:
In case of disputes, StackWalls mediates and makes the final decision.If the freelancer does not complete the project, StackWalls may refund the client or release a partial payment based on project progress. 2.2 Full-Time Hiring: Clients can hire full-time employees through StackWalls.
Plans:
Normal Hiring Plan:INR 12,000 per week; four (4) profiles are shared with the client weekly.Urgent Hiring Plan:INR 20,000 per week; eight (8) profiles are shared with the client weekly.Fees & Payment:
Clients pay a weekly subscription fee based on the chosen plan.If a candidate is hired, the client pays 7.5% of the candidate’s base CTC (Cost to Company).50% of the service fee is due upon the candidate’s hiring.50% of the service fee is due after the candidate completes a two-month probation period.Payments must be made within two (2) weeks of receiving an invoice. Late Payment Penalty:1% of the total invoice amount per day.Non-Payment Consequences:Legal action may be taken if payment is delayed by more than three (3) months. 2.3 Work With StackWalls: Clients can hire a team of freelancers curated by StackWalls, including a Project Manager.
Process:
The client and Project Manager define the project scope, budget, and timeline.Payment terms are agreed upon based on the project budget:Budget below INR 20,000: Full payment required in advance.Budget INR 20,000 to INR 100,000: 50% advance, 50% upon project completion. Budget above INR 100,000: Payment in three stages—40% advance, 30% mid-project or upon reaching milestones, 30% upon project completion.Fees & Payment:
StackWalls' service fees are included in the quoted project price.Payments must be completed within two (2) weeks of receiving an invoice.Late Payment Penalty: 1% of the total invoice amount per day.Non-Payment Consequences: Legal action may be taken if payment is delayed by more than three (3) months. Budget above INR 100,000: Payment in three stages—40% advance, 30% mid-project or upon reaching milestones, 30% upon project completion.Refund Policy:
Payments are non-refundable unless StackWalls determines that a refund is justified due to lack of significant progress on the project. The decision of StackWalls is final.3. Account Registration
Users must register an account to use StackWalls’ services.Accuracy: Users must provide accurate and complete information during registration. Security: Users are responsible for maintaining the confidentiality of their account credentials. Termination: StackWalls reserves the right to suspend or terminate accounts for violations of these T&C or fraudulent activities.4. User Responsibilities
Clients: Must provide clear and accurate project requirements and adhere to agreed-upon deadlines.Clients: Must provide clear and accurate project requirements and adhere to agreed-upon deadlines. Freelancers/Agencies: Must deliver services as per the agreed scope, maintain professionalism, and provide regular updates to the client. Both Parties: 4.1 Prohibition of Personal Detail Sharing:
Clients and freelancers/agencies are strictly prohibited from sharing personal contact details (such as phone numbers, email addresses, or social media profiles) with each other until expressly permitted by StackWalls.All communications must occur through the StackWalls platform until StackWalls allows direct contact.4.2 Penalties for Unauthorized Sharing:
If a freelancer or agency shares personal contact details with a client without StackWalls’ approval:4.2.1 Immediate Project Termination: The ongoing project will be terminated immediately. 4.2.3 Blacklist: The freelancer or agency will be permanently blacklisted from using StackWalls for any future projects. No Refunds: No refunds will be issued to the client for any advance payments if the freelancer or agency is at fault. Clients found encouraging such unauthorized sharing will be subject to similar penalties, including potential account suspension.4.3 Transaction Rules:
All financial transactions between clients and freelancers/agencies must be conducted through StackWalls.Direct payments outside of StackWalls are strictly prohibited and will result in account suspension or termination.4.4 Intellectual Property Rights and Ownership Transfer:
During the Project:Until a project is fully completed and payment is made by the client, all rights, including intellectual property rights, remain with the freelancer or agency executing the work. Upon Payment: Once the project is completed and full payment has been made through StackWalls, the ownership and all associated rights to the project are transferred to the client. Client Obligations: Clients must respect the freelancer’s or agency’s ownership rights during the project and cannot claim ownership or use of the work until payment is completed. Freelancer/Agency Obligations:Freelancers or agencies must ensure that all necessary rights are transferred to the client upon receipt of the final payment and that the work delivered is original and does not infringe on third-party rights.5. Escrow Services
StackWalls acts as an escrow service for freelance projects, holding client payments until the project is completed and approved. Dispute Resolution:StackWalls may withhold payments in case of disputes until the matter is resolved. The final decision on payment distribution rests with StackWalls.6. Intellectual Property Rights
Ownership:All content, trademarks, and intellectual property on the StackWalls platform are owned by StackWalls or its licensors. License:Users are granted a limited, non-exclusive license to use the platform for its intended purposes.Prohibitions:Users may not reproduce, distribute, or create derivative works from StackWalls content without prior written permission.7. Limitation of Liability
Disclaimer:StackWalls provides its services on an "as-is" basis and disclaims any warranties, express or implied. No Liability: StackWalls is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our platform.Indemnity:Users agree to indemnify and hold StackWalls harmless from any claims arising out of their use of the platform.8. Termination and Suspension
Termination by StackWalls:StackWalls reserves the right to terminate or suspend access to the platform without prior notice if users violate these T&C. Termination by User: Users may terminate their account at any time by notifying StackWalls.9. Governing Law and Jurisdiction
These T&C are governed by the laws of India. Any disputes or legal actions related to these T&C shall be resolved in any of the registered courts of India.10. Amendments
StackWalls may amend these T&C at any time. Users will be notified of significant changes via email or platform notifications. Continued use of the platform after changes are made constitutes acceptance of the revised T&C.11. Contact Information
